SpaceX has officially taken a significant step towards its initial public offering (IPO) by submitting its S-1 filing. This document provides an intriguing glimpse into the financial strategies and operational goals of Elon Musk's ambitious aerospace company, as well as its AI venture, xAI. One of the standout revelations in the filing is Musk's monumental financial incentive tied to SpaceX's mission of establishing a permanent human presence on Mars. According to the document, Musk is set to receive one billion shares of SpaceX, contingent upon achieving ambitious milestones, including the creation of a human colony on Mars that houses at least one million residents. For Musk to access this lucrative share package, he must remain employed by SpaceX at the time of this achievement. The potential financial reward for Musk is staggering. If fully vested, his performance awards could total approximately $737 billion. This includes about $583 billion from the share award that vests if SpaceX reaches a $7.5 trillion market cap and achieves the Mars colonization goal. An additional $154 billion could come from another award linked to the development of orbital data centers capable of producing 100 terawatts of compute per year, contingent on a market cap of around $6.6 trillion. Moreover, the S-1 revealed that Anthropic, an AI research company, has committed to paying SpaceX $1.25 billion monthly until May 2029 for access to its computing resources. This agreement is projected to generate around $15 billion in revenue for SpaceX, primarily leveraging its advanced supercomputers, Colossus and Colossus II, designed for artificial intelligence training. In terms of governance, Musk maintains substantial voting power within SpaceX, holding 85.1% of the voting rights associated with his shares. The financial figures disclosed in the filing highlight a significant investment in xAI, with expenditures on AI projects like Grok surpassing those for SpaceX’s rocket development, including the Super Heavy and Starship rockets. For instance, in the first quarter of 2026, SpaceX allocated $7,723 million to AI initiatives, compared to $1,052 million for its space segment. This S-1 filing not only sheds light on SpaceX's ambitious goals for interplanetary expansion but also underscores the vast financial stakes tied to Musk's vision for the future of humanity beyond Earth.
