
SpaceX has cautioned its investors about the possibility of issuing 'significant equity' in connection with future transactions as it approaches its initial public offering (IPO). This announcement comes on the heels of ongoing speculation that CEO Elon Musk may be considering a merger between his aerospace venture and Tesla, his electric vehicle company. This warning was included in the risk factors section of SpaceX's first formal amendment to its IPO filing, released last month. The company discreetly added the statement to the end of a paragraph discussing the potential pitfalls of mergers and acquisitions, indicating that 'we may issue a significant amount of equity in connection with future transactions.' In recent months, SpaceX has been active in the mergers and acquisitions arena, acquiring Musk's AI firm, xAI, last year. Additionally, it recently struck a deal with Cursor, which includes an option to acquire the startup for a staggering $60 billion in stock post-IPO. With anticipated proceeds of around $75 billion from its Nasdaq listing—after accounting for $20 billion earmarked for settling prior debts related to xAI and X—SpaceX may have further acquisition targets in mind. This advisory seems strategically designed to prepare investors for the potential of significant dilution, particularly in the event of a merger with Tesla. Musk has long entertained the idea of integrating his companies, and the upcoming IPO has intensified discussions about this possibility. Such a merger would likely encounter numerous legal and regulatory hurdles and would require shareholder approval at Tesla. However, the IPO filing indicates that Musk holds substantial voting power at SpaceX, suggesting that he alone could block any merger from the SpaceX side. Currently, SpaceX issues three primary classes of shares: Class A shares, which are offered to the public with one vote each; Class B shares, owned solely by Musk, granting him ten votes per share; and Class C shares, which have no voting rights. While Class C shares are primarily allocated for executive compensation, Musk could potentially utilize them for acquisitions without diminishing his control. Additionally, the company has Class D shares with limited economic rights, for which the voting structure has yet to be determined.
