SpaceX is working with Cursor and has an option to buy the startup for $60 billion

SpaceX has officially announced its collaboration with Cursor, a prominent software development platform, to create an advanced AI focused on coding and knowledge work. This partnership includes a notable clause that allows SpaceX to acquire Cursor for an astounding $60 billion later this year. This strategic move aligns with SpaceX’s upcoming public offering, as investors may perceive the engagement with Cursor as a way to enhance the value of Elon Musk's expansive tech empire. For industry observers, this deal was anticipated, particularly given recent developments involving xAI, which is set to provide computing resources to Cursor. The coding startup plans to utilize thousands of xAI chips for training its latest AI model. Adding to the intrigue, two top engineering executives from Cursor, Andrew Milich and Jason Ginsberg, have transitioned to xAI, where they now work directly under Musk. SpaceX has characterized this partnership as a fusion of Cursor’s expertise in software engineering distribution with its own formidable Colossus supercomputer, boasting the computational power equivalent to one million Nvidia H100 chips. SpaceX's statement indicated that the company will either invest $10 billion in Cursor for its contributions or proceed with the $60 billion acquisition later this year. Recently, reports have surfaced indicating that Cursor is aiming for a $50 billion valuation in an imminent fundraising round, marking a remarkable increase from its previous valuations of $2.5 billion in January of last year and $9 billion by May. However, this potential acquisition poses a financial challenge for SpaceX, particularly in light of its recent expenditures on xAI and the social media platform X, alongside substantial planned investments. The announcement did not clarify whether the acquisition could involve payment in SpaceX stock. While this collaboration offers the potential to bolster both companies, it also highlights certain vulnerabilities. Neither Cursor nor xAI possesses proprietary AI models that can compete with those of market leaders like Anthropic and OpenAI. Currently, Cursor relies on and sells access to Claude and GPT models, even as both competitors introduce their own coding solutions, a situation that this partnership may aim to eventually rectify.
