David Sewell, CEO of Solstice Advanced Materials, addressed concerns on Monday regarding the company's planned $14.5 billion acquisition of Element Solutions, following a significant sell-off that saw Solstice's stock drop by 15%. Speaking on CNBC's "Mad Money," Sewell asserted that Wall Street's interpretation of the deal is misguided. Sewell emphasized the strategic importance of the acquisition, stating, "We're at a generational growth opportunity in semiconductors and advanced electronics." He highlighted that merging with Element Solutions would create a robust product portfolio, positioning Solstice as a leader in advanced materials for semiconductors, data centers, and artificial intelligence. Despite the management's optimistic outlook, Solstice shares experienced a sharp decline, closing down approximately 15%, while Element Solutions' stock fell by 3%. Sewell suggested that the drop was influenced by speculative trading from hedge funds rather than genuine doubts about the acquisition's strategic value. "We know there were a lot of hedge funds, a lot of arbitrage in there," he explained. The acquisition is set to enhance Solstice's capabilities across the AI infrastructure supply chain, particularly in semiconductor fabrication, advanced chip packaging, and thermal management. Sewell believes this positions the company to capitalize on the increasing demand for AI infrastructure solutions. "It's a great growth proposition," he noted, adding that a comprehensive product offering will enable them to address significant challenges faced by their customers. Having gone public last fall as a spin-off from Honeywell Technologies, Solstice is now under the watchful eye of the CNBC Investing Club, which also holds shares in Honeywell. Sewell remains confident that as Solstice executes its strategic plan, the stock price will reflect its true value.
