ServiceNow has announced its plan to acquire the cybersecurity firm Armis in a substantial cash transaction valued at $7.75 billion. This strategic move, revealed on Tuesday, is set to enhance ServiceNow's cybersecurity offerings amidst the growing influence of artificial intelligence in the sector. Amit Zavery, the president and chief product and operating officer at ServiceNow, emphasized the importance of this acquisition, stating, "Together with Armis, we will deliver an industry-defining strategic cybersecurity shield for real-time, end-to-end proactive protection across all technology estates." The deal is expected to be finalized in the latter half of the upcoming year, financed through a mix of cash and debt. Following the announcement, shares of ServiceNow saw a slight decline of about 2% prior to market opening. Earlier in the month, Bloomberg reported that Armis was in discussions regarding a possible $7 billion acquisition by ServiceNow. Armis, based in California, specializes in safeguarding internet-connected devices from cyber threats. In November, the startup successfully raised $435 million, achieving a valuation of $6.1 billion. Co-founder Yevgeny Dibrov had previously indicated ambitions for an initial public offering by 2026 or 2027, but stated that reaching over $1 billion in annual recurring revenues was a primary goal. Dibrov highlighted the increasing necessity for their cyber exposure management and security platform, noting a significant and unique demand for Armis's solutions. As the landscape of initial public offerings has become more challenging, many firms are opting to remain private longer or pursue acquisitions. Major players like Stripe and Databricks have recently seen a surge of investment in private markets. With the rise of AI, companies are investing significantly in cybersecurity to combat increasingly sophisticated threats. This year has also seen notable acquisitions in the cybersecurity space, including Google's $32 billion purchase of cloud security company Wiz and Palo Alto Networks' $25 billion acquisition of CyberArk. ServiceNow reported that Armis has achieved over $340 million in annual recurring revenue, with a remarkable growth rate of 50% year-over-year, an increase from the $300 million previously disclosed in August.
