In a bold move to bolster its position in the AI landscape, SAP has announced plans to acquire German AI firm Prior Labs for an undisclosed sum, aiming to invest approximately €1 billion (around $1.16 billion) over the next four years. This investment is intended to transform Prior Labs into a specialized AI lab concentrating on structured data, a crucial aspect for enterprise operations. The acquisition comes at a time when SAP is navigating challenges, including a significant drop in stock value amid the ongoing 'SaaSpocalypse.' Despite these hurdles, SAP is committed to enhancing its capabilities in enterprise software, where structured data management is essential. While SAP has not disclosed the purchase amount, insiders suggest that the deal was primarily cash-based, providing the founders—Frank Hutter, Noah Hollmann, and Sauraj Gambhir—with a substantial financial exit. Founded only 18 months ago, Prior Labs has focused on developing tabular foundation models (TFMs), which are designed to make predictions based on structured data. This focus aligns well with SAP's offerings, which include software for critical business functions like accounting and human resources. As the tech industry pushes towards more autonomous AI solutions, SAP appears to be taking a defensive stance. The company is actively blocking unauthorized AI technologies while simultaneously developing its own systems. Recent reports indicate that SAP is restricting access to its products through APIs, only permitting those that are officially endorsed, such as its Joule Agents, which are currently in beta testing. In a strategic partnership, SAP's Joule supports Nvidia’s Agent Toolkit, which is integral to the development of NemoClaw, a competitor to OpenClaw. This means SAP customers will be cleared to utilize NemoClaw agents, reflecting SAP’s dual nature as both a pioneer and a guardian in the evolving AI landscape. SAP has been proactive in investing in generative AI technologies, having recently backed companies like Anthropic, Aleph Alpha, and Cohere, which are merging to create a formidable AI entity. The company has also developed its own relational pretrained transformer model, SAP-RPT-1, emphasizing its commitment to AI innovation tailored for structured data. Philipp Herzig, SAP’s CTO, emphasized that the true potential in enterprise AI lies not in large language models but in solutions designed for the structured data that underpins most business operations. The acquisition of Prior Labs is seen as a pivotal step in realizing this vision, with the startup's TabPFN model series gaining traction among developers. The partnership is expected to enhance SAP’s capabilities in combining structured data with language processing and reasoning. Frank Hutter, the CEO of Prior Labs, expressed optimism about the collaboration, highlighting the potential for the lab to become a leading AI research institution in Europe focused on structured data. Prior Labs will continue to operate independently while benefiting from SAP’s resources, ensuring that it can maintain its innovation momentum. As SAP’s stock shows signs of recovery, the company remains vigilant about the AI agents it permits into its ecosystem, contrasting sharply with competitors like Salesforce, which is adopting a more open approach to agent integration.
