This legislation, signed into law in 2025, modifies the way companies can appoint independent directors and restricts the information shareholders can access when investigating corporate misconduct. Critics, including institutional investors and legal experts, argue that the law undermines the rights of minority shareholders and enables corporate boards to prioritize their own interests over those of the wider investor community. Elon Musk's substantial compensation package, totaling a record $56 billion, has been a focal point of legal scrutiny in Delaware. Amid this controversy, Musk relocated Tesla's incorporation to another state, prompting concerns among Delaware lawmakers regarding the potential exodus of businesses. Despite being a predominantly Democratic state, Delaware has historically positioned itself as a business-friendly environment. The Working Families Party aims to steer Delaware politics towards a focus on the working class, emphasizing the implications of the 'billionaires bill' for corporate accountability. Karl Stromberg, the party's state director, highlighted the adverse effects of the legislation, describing it as a means of granting Musk significant financial rewards while undercutting federal agencies that support public welfare. In the upcoming elections, the Working Families Party is endorsing candidates for both the state House and Senate, including Shané Darby, Rae Krantz, Pamela Salaam, Will Imbrie-Moore, Adriana Bohm, and Shay Frisby, who are challenging incumbent Democrats. Following the passage of SB21, Musk's pay package was eventually reinstated by the Delaware Supreme Court, although the court's decision was not directly influenced by this legislation. Supporters of the corporate law changes, including Delaware Governor Matt Meyer, have defended their actions, asserting that the aim was to maintain a stable and transparent legal environment for businesses in the state. In contrast to Delaware's corporate policies, California voters will soon confront a proposed Billionaire Tax Act that seeks to impose a one-time 5% tax on the wealth of individuals with a net worth exceeding $1 billion. This initiative takes a different approach, focusing on personal residency rather than corporate domicile, and reflects a growing tension between states in their treatment of wealthy individuals.
