Paytm Cloud Technologies to launch new subsidiaries in Indonesia and UAE

Paytm Cloud Technologies Limited (PCTL), a subsidiary of One 97 Communications Limited, is set to broaden its international reach by establishing new companies in Indonesia and the UAE. This strategic initiative aims to enhance its payment and financial services technology on a global scale. During a recent board meeting, the creation of Paytm Arab Payments L.L.C. (PAPL) was approved. This entity, incorporated on April 30, 2025, is designed to bolster Paytm's payment services in the UAE. The board sanctioned the issuance of 76,862 shares of PAPL at AED 100 each to Abbar Global Opportunities Holdings Limited (AGOHL), a firm based in Abu Dhabi. After this share issuance, AGOHL will hold a 49% stake in PAPL, while PCTL will maintain a controlling 51% ownership. AGOHL is a special purpose vehicle established by Mohamed Ali Rashed Alabbar, the founder of Emaar Properties, which is renowned for iconic developments such as the Burj Khalifa and the Dubai Mall. Alabbar is also a co-founder of Noon and is involved in various other enterprises, including Americana Restaurants and Zand Bank. In addition to its UAE venture, PCTL plans to launch a subsidiary in Indonesia, focusing on enhancing its payment technology services in that market. This expansion will involve forging local partnerships, making investments, and securing the necessary licenses, all without requiring government approval for incorporation. The initial capital investment allocated for the Indonesian venture is expected to reach up to ₹25 crore, to be distributed in one or more phases. The share agreement with AGOHL was finalized on December 22, 2025, with the transaction anticipated to conclude by February 28, 2026. PAPL is projected to receive around AED 7,686,200 from AGOHL as part of this share acquisition. Notably, AGOHL operates independently of the One 97 Communications Limited group, which is managed professionally without any known promoters, ensuring the transaction is conducted at arm's length and does not classify as a related-party transaction.
