
Paramount Skydance has raised its bid for Warner Bros. Discovery (WBD), increasing the offer from $30 to $31 per share, according to a statement from WBD. This move comes as WBD faces a competing bid from Netflix for its movie studios and streaming assets. WBD noted that Paramount's enhanced offer could potentially qualify as a 'Company Superior Proposal.' As part of this new proposal, Paramount has committed to covering a $7 billion regulatory termination fee if the merger does not proceed due to antitrust concerns. Additionally, the company will pay $0.25 for each share per day that the deal remains unresolved, with the payment period starting from September 30—earlier than the previously set date of December 31. Previously, Paramount had also agreed to a $2.8 billion termination fee should WBD decide to back out of its merger discussions with Netflix. Currently, Netflix has put forth an offer of $27.75 per share for a smaller segment of WBD’s operations, including its film studios and streaming services, but not its other cable networks. WBD's board has yet to determine whether Paramount's revised proposal is superior to Netflix's existing bid. Should the board rule in favor of Paramount, Netflix will have a four-day window to submit a counteroffer. However, it remains uncertain whether Netflix is prepared to increase its offer for WBD's streaming and film divisions. Netflix has not yet responded to Paramount's latest bid. In a statement on Friday, co-CEO Ted Sarandos emphasized Netflix's disciplined approach to acquisitions, indicating a willingness to walk away if the valuation does not align with their standards. "We have a reputation for this, and I’m comfortable letting someone else pay more than they should," he remarked. Regardless of the outcome, any merger involving WBD is poised to undergo rigorous regulatory examination, potentially resulting in increased subscription costs and significant implications for the entertainment industry in Hollywood.
