Oracle appoints Schneider Electric’s Hilary Maxson as CFO with $26 million equity, $950K base pay

In a significant move following last week's extensive layoffs, Oracle has appointed Hilary Maxson as its new Chief Financial Officer (CFO). Maxson, who previously held the position of Executive Vice President and group CFO at Schneider Electric, brings over a decade of experience in infrastructure and energy sectors to the tech giant. This appointment comes at a critical juncture for Oracle, as the company is heavily investing in artificial intelligence (AI) infrastructure while managing a considerable amount of debt. Maxson will be reporting directly to CEO Clay Magouyrk, who expressed enthusiasm about collaborating with her. "Hilary’s diverse experience across industrial, infrastructure, and software sectors is vital for our success, particularly in areas that require capital intensity and execution excellence," stated Magouyrk. Expressing her excitement about the new role, Maxson remarked, "I’m thrilled to join Oracle at such a pivotal time. I look forward to working closely with Clay, Mike, and the entire leadership team to ensure disciplined investments that will create lasting value for our customers and shareholders." Regarding her remuneration, Maxson is set to receive a base salary of $950,000 (approximately ₹8.83 crore) annually. Additionally, she is eligible for performance bonuses that can reach up to $2.5 million (around ₹23.26 crore) each year, contingent on her ability to meet specific targets. Due to the timing of her appointment on April 6, 2026, her first bonus will be prorated to reflect the shorter period before Oracle’s fiscal year-end on May 3. Oracle has also committed to covering up to $250,000 in relocation expenses for Maxson within her first year. Furthermore, she will receive stock compensation valued at up to $26 million (around ₹246.6 crore), with 80% of it vesting over time and the remaining 20% tied to performance metrics. In addition to her responsibilities as CFO, Maxson will serve as Principal Financial Officer, overseeing financial reporting and disclosures, while Douglas Kehring will transition from that role to continue as Executive Vice President, Operations, concentrating on Oracle’s strategic initiatives.
