The lawsuit, initiated by Elon Musk in 2024, alleges that OpenAI, along with its CEO Sam Altman and President Greg Brockman, breached their commitment to uphold the nonprofit structure and charitable mission of the organization. Microsoft has been named as a defendant, with Musk accusing the tech giant of complicity in this alleged breach of trust. Since 2019, Microsoft has been a crucial backer of OpenAI, investing over $13 billion in various rounds, including $1 billion in 2019, $2 billion in 2021, and a significant $10 billion in 2023. This financial support has been a focal point throughout the trial. Musk, who testified last month, expressed that Microsoft's massive $10 billion investment was a pivotal moment that led him to believe OpenAI was straying from its nonprofit ideals. He voiced concerns about the scale of this investment, prompting him to initiate a legal probe into OpenAI's operations. Musk, a co-founder of OpenAI alongside Altman and Brockman in 2015, departed from the board in 2018 due to disagreements over the organization's direction. Following his exit, he established a rival AI firm, xAI, which recently merged with SpaceX. After Musk's departure, OpenAI formed a for-profit subsidiary that facilitated the influx of external funding, allowing investors like Microsoft to invest billions, thus boosting the company's valuation to over $850 billion. In October, OpenAI undertook a recapitalization effort that reaffirmed its nonprofit status while maintaining an equity stake in its for-profit branch. Microsoft disclosed its 27% stake in OpenAI's for-profit unit, valued at approximately $135 billion. Despite the deep ties between the two companies, recent months have revealed signs of tension, even as they publicly maintain that their partnership is strategic. On the same day jury selection began for Musk v. Altman, both companies announced a revised partnership agreement aimed at simplifying their collaboration, which now includes provisions to cap revenue share payments and serve clients across various cloud platforms. Musk has indicated he does not oppose the existence of a for-profit entity within OpenAI, but he criticized the current structure, suggesting it has shifted the organization's focus. During his testimony, Musk raised questions about Microsoft's intentions, stating, "With all due respect to Microsoft, do you really want Microsoft controlling digital superintelligence?" In a videotaped deposition shown in court, former OpenAI director Tasha McCauley recounted a discussion involving Nadella regarding the board's decision to dismiss Altman as CEO in 2023, suggesting Nadella favored restoring previous conditions, a stance not supported by other board members.
