Luminar claims founder Austin Russell is dodging a subpoena in the bankruptcy case

Luminar, the lidar technology company, has accused its founder and ex-CEO, Austin Russell, of avoiding compliance with requests for information crucial to the potential legal actions against him. The firm, which entered Chapter 11 bankruptcy proceedings in late December, detailed its struggles in an emergency court filing over the weekend, stating it has been attempting to recover company-owned devices from Russell since his resignation in May. To date, Luminar has managed to retrieve six computers but is still pursuing Russell's company-issued phone and a digital copy of his personal device. The filing also highlighted claims from Luminar's legal team that Russell and his associates misinformed them about his whereabouts during the holiday season. As a result, the company is seeking permission to serve legal documents to Russell via mail or email. In response, Russell has maintained that he is cooperating and seeks assurances regarding the protection of personal data on his devices. His attorney, Leonard Shulman, indicated to TechCrunch that the company had declined to provide those assurances, prompting Russell to follow the court's established procedure for data handling protections. This emergency filing marks a significant development in a rapidly evolving bankruptcy case, in which Luminar is attempting to sell key divisions of its business. The company is actively pursuing court approval for a deal to sell its semiconductor subsidiary to Quantum Computing, Inc., and has set January 9 as the deadline for bids on its lidar division. Russell, now leading his new venture, Russell AI Labs, had attempted to acquire Luminar prior to its bankruptcy filing and has expressed intentions to bid during the bankruptcy proceedings. Shulman emphasized that the focus remains on Russell AI Labs' bid aimed at revitalizing Luminar and delivering value to its stakeholders. Legal efforts to obtain information from Russell began in May, following his unexpected resignation due to a “code of business conduct and ethics inquiry” initiated by the board's audit committee. Luminar's filing notes that the company is assessing possible legal claims against Russell related to this inquiry and personal loans he had taken. A Special Investigation Committee was formed by Luminar’s board on November 12, which engaged the law firm Weil, Gotshal & Manges to investigate various transactions and potential claims involving current and former directors and officers of Luminar. In December, just before the bankruptcy announcement, Weil contacted Russell's former legal representation to discuss the retrieval of his Luminar-issued devices. Although Russell authorized the return of the computers, he requested guarantees regarding the confidentiality of his personal data, leading to further complications in the retrieval process. When Luminar arranged for a forensic examiner to visit Russell's residence on New Year's Day, the technician was denied entry, a situation Luminar’s lawyer described as “unacceptable.” Russell countered that the visit was unannounced and occurred while he was asleep, reiterating his concern for his personal data privacy. Despite ongoing tensions, Russell has stated that he has been cooperative throughout the process, disputing any characterization of his actions as evasive. Meanwhile, Luminar's legal team has faced challenges in serving Russell with subpoenas, alleging that his security personnel misled them about his presence at his residence. As this complex situation continues to unfold, the focus remains on the implications for Luminar's future and the potential outcomes of the ongoing negotiations and investigations.
