Kodiak AI raises $100M at a steep discount, sending its stock tumbling 37%

Kodiak AI experienced a significant drop in its stock value, plummeting 37% in after-hours trading following the announcement of a $100 million capital raise through a discounted share sale. The self-driving truck company sold its shares at a price of $6.50 each, considerably lower than its previous closing price of $9.10, as detailed in a recent filing with the Securities and Exchange Commission (SEC). The fundraising effort, which included warrants allowing investors to purchase additional shares at a set price, was backed by existing investor Ares Management and several unnamed institutional investors. This influx of cash comes at a crucial time as Kodiak advances its ambitious goal of scaling operations in the self-driving truck sector, which encompasses both industrial off-road applications and public highways. In its latest financial report, Kodiak revealed a revenue of $1.8 million for the first quarter, an increase from $1.4 million in the same period last year. However, the company also reported an operational loss of $37.8 million, which is double the loss compared to the previous year. These figures help clarify the investor concerns triggered by the discounted share sale, as the company continues to burn through cash at an alarming rate despite the substantial capital raised. Kodiak has made noteworthy strides recently, including securing a commercial contract with Roehl Transport and initiating a pilot program to test autonomous trucks at West Fraser Timber Co. in Alberta, Canada. Under the contract with Roehl, Kodiak trucks will operate autonomously for freight transport between Dallas and Houston, completing four round trips weekly, though a human safety operator will remain present in the vehicle as a precaution. Founder and CEO Don Burnette expressed optimism about the company's trajectory, stating they are on schedule to transition to driverless trucking on public highways later this year. "We have tons of over-the-road long haul initiatives, and bringing on new partners continues to show momentum," he noted during an interview. Currently, Kodiak owns the trucks and handles freight transport for Roehl and other clients, including major companies like Werner and J.B. Hunt. However, as they move towards driverless operations, their business model will shift to a driver-as-a-service model, allowing customers to own and manage the trucks themselves. While Kodiak aims to phase out safety drivers by the end of 2026, Burnette emphasized that they will not commence driverless operations on public roads until all technology validations are complete. He elaborated on their autonomy readiness measure, which tracks their internal safety validation progress; as of April, the company reported an 86% completion rate. The startup, formerly known as Kodiak Robotics, went public last September through a merger with Ares Acquisition Corporation II, valuing the company at approximately $2.5 billion. At that time, Kodiak raised $275 million, though the trust funds available decreased as some SPAC investors redeemed their shares before the merger's conclusion.
