iRobot Corporation, renowned for its iconic Roomba vacuum cleaners, has officially entered a pre-packaged Chapter 11 bankruptcy. The announcement was made on Sunday as part of a strategic plan to transition ownership to Shenzhen Picea Robotics Co., Ltd., its primary contract manufacturer and secured lender. This move marks a critical juncture for iRobot as it seeks to stabilize its financial situation while ensuring the continuation of its operations. The bankruptcy filing took place in Delaware and is intended to provide a solid foundation for the company's future. Recent financial strains have significantly impacted iRobot, especially following the collapse of a $1.4 billion acquisition proposal from Amazon earlier this year due to antitrust issues. The restructuring plan includes a support agreement that will facilitate the transition of ownership through a court-supervised process designed to maintain operational integrity. Once the acquisition is finalized, iRobot will become a privately-held entity fully owned by Picea. As a result, its stock will be delisted from the NASDAQ and other national exchanges, leaving current shareholders with no value for their investments as all existing equity interests will be eliminated in the reorganization. Despite these challenges, iRobot has assured its customers and partners that the functionality of its app, customer support programs, and supply chain operations will remain intact throughout the bankruptcy proceedings. The pre-packaged Chapter 11 process is projected to conclude by February 2026, paving the way for a new chapter in the company's history.
