SEC and Elon Musk agree to settle lawsuit over Twitter buyout in 2022

In a significant development, the SEC has agreed to settle its lawsuit against Elon Musk concerning his acquisition of Twitter. The lawsuit accused Musk, the wealthiest individual globally, of breaching securities regulations leading up to his $44 billion purchase of the social media platform in late 2022. According to documents filed on Monday, both the SEC and Musk's legal representatives have reached an agreement whereby Musk's revocable trust will pay a civil penalty of $1.5 million as part of the settlement. However, the proposed settlement is still pending approval from the judge. Musk, who is at the helm of companies like Tesla and SpaceX, initially bought Twitter, which he later rebranded as X, before merging it with his artificial intelligence venture, xAI, and SpaceX earlier this year. His net worth is estimated at around $790 billion, according to Forbes. Prior to the Twitter acquisition, Musk acquired more than 5% of the company’s shares, which necessitated a public disclosure within ten days. However, he failed to file this disclosure in a timely manner, allowing him to purchase shares at undervalued rates, thus disadvantaging other investors. Last month, the SEC indicated that it was exploring potential resolutions with Musk regarding this matter. In a separate class-action lawsuit, a jury in California found Musk had misled Twitter's investors leading up to the buyout, a verdict that his legal team plans to appeal. This agreement adds to Musk's history with the SEC, following a previous settlement in 2018 that required both him and Tesla to pay $20 million in fines due to Musk's attempts to take the automaker private. Musk has publicly expressed his disdain for the SEC since that settlement. Currently, Musk is also involved in a separate legal dispute with Sam Altman, CEO of OpenAI. The trial, Musk v. Altman, commenced last week in Oakland, California, where Musk has been testifying. He alleges that Altman and OpenAI failed to uphold their commitment to retain the AI laboratory as a nonprofit organization.
