Trump’s DOJ seems annoyed about having to approve T-Mobile’s latest merger

In a surprising move, the Department of Justice's Antitrust Division announced its approval of T-Mobile's acquisition of US Cellular's wireless operations. Assistant Attorney General Gail Slater, confirmed by the Senate in March, expressed her concerns regarding the impact of this deal on the mobile market. Slater's lengthy statement highlighted that the merger contributes to a growing concentration of spectrum among the top three carriers—T-Mobile, AT&T, and Verizon—who already dominate over 80% of the mobile wireless spectrum in the United States. Furthermore, she pointed out that these companies hold more than 90% of the country’s mobile subscriptions. Despite these market consolidation issues, the DOJ has concluded its investigation into the merger and will not seek a court injunction to block T-Mobile's acquisition of US Cellular assets. This acquisition, valued at $4.4 billion, allows T-Mobile to secure about 30% of US Cellular's spectrum and its operational capabilities. US Cellular's assets are also being divided among Verizon and AT&T, who are purchasing spectrum licenses in separate transactions worth approximately $1 billion each. The DOJ justified its decision by stating that the potential downsides of the merger do not outweigh the benefits it could bring to consumers. The department noted that US Cellular’s struggles to maintain competitiveness could lead to a decline in service quality for its subscribers. In contrast, the merger is expected to enhance network capabilities for users. Interestingly, the DOJ's announcement coincided with T-Mobile's recent agreement to meet demands from the Trump administration, which included scrapping its Diversity, Equity, and Inclusion policies. This move has reportedly paved the way for the Federal Communications Commission (FCC) to approve T-Mobile's joint venture to acquire fiber supplier Metronet, subsequently easing the approval process for the US Cellular deal.
