Despite ‘misgivings,’ judge approves Elon Musk’s $1.5 million SEC settlement

A U.S. District Judge has given the go-ahead for a $1.5 million settlement involving Elon Musk in a lawsuit initiated by the Securities and Exchange Commission (SEC). Despite expressing substantial reservations about the agreement, Judge Sparkle Sooknanan confirmed that the settlement would be accepted, as reported by Bloomberg. This lawsuit dates back to early 2025, focusing on Musk's management of his acquisition of Twitter. It was filed just before Donald Trump assumed the presidency and centered on allegations that Musk failed to promptly inform investors of his increasing ownership stake in the social media platform during 2022. The SEC claimed that this delay resulted in Musk saving an impressive $150 million. In May, Musk reached an agreement with the SEC that involved a trust set up in his name to cover the $1.5 million penalty, all without admitting any wrongdoing. Judge Sooknanan had previously raised concerns regarding the possibility of Musk receiving preferential treatment from the Trump administration, particularly since Musk had financially supported Trump’s campaign during the 2024 election cycle. In her ruling, Sooknanan stated that the court's role was to ensure that the proposed settlement adhered to basic standards of fairness and did not undermine judicial integrity. She acknowledged her deep reservations about the settlement but ultimately concluded that it did not cross the threshold of unacceptability.
