Why Cohere is merging with Aleph Alpha

In a significant move within the AI sector, Canadian startup Cohere is set to merge with Germany's Aleph Alpha, backed by the Schwarz Group, the parent organization of Lidl. This collaboration aims to create a sovereign alternative in the AI market, which is currently heavily influenced by American companies, with the support of both Canadian and German governments. Though both companies specialize in developing large language models, they are not on equal footing. Cohere was recently valued at $6.8 billion and will take the lead in the newly formed entity that will include Aleph Alpha, pending regulatory and shareholder approval. The Schwarz Group, a key investor in Aleph Alpha, is fully supportive of this merger, committing €500 million (about $600 million) in structured financing. This investment is expected to leverage the capabilities of STACKIT, Schwarz Group's sovereign cloud service. As part of its financial backing, the Schwarz Group will also serve as Cohere's lead investor in a Series E funding round, establishing a valuation of around $20 billion. This figure represents a notable increase that may not be solely supported by their current revenue streams. Cohere reported an annual recurring revenue of $240 million for 2025, while Aleph Alpha previously faced challenges with limited revenue and significant losses. However, the merger is seen as a strategic move to enhance their market potential. Notably, Cohere aims to attract enterprises seeking AI solutions that prioritize privacy and independence, particularly in regulated sectors such as defense, energy, finance, healthcare, manufacturing, telecommunications, and the public sector. Aleph Alpha also has a history of developing specialized language models, including the PhariaAI suite, designed for European enterprises and public institutions. Despite recent leadership changes that left its strategic direction somewhat uncertain, Aleph Alpha's team of 250 experts could provide valuable synergy with Cohere. Cohere CEO Aidan Gomez highlighted the complementary strengths of both companies during a press conference, emphasizing the different focuses on language models. The event featured key figures, including co-founder Samuel Weinbach from Aleph Alpha, Schwarz Group's chief digital officer Rolf Schumann, and digital ministers from Germany and Canada. As tensions with the United States rise, Canada is eager to forge bilateral partnerships, particularly with Germany. The countries have recently established a Sovereign Technology Alliance aimed at enhancing their sovereign AI capabilities while reducing reliance on external technology. However, it remains to be seen if European organizations will consider this collaboration sufficiently sovereign or if they will continue to view it as a transatlantic initiative in the long run. Gomez stated that the merged entity will be recognized as a Canadian-German company, though ownership dynamics may evolve, especially if an IPO is pursued in the future.
