Cognition will buy AI coding startup Windsurf, which is losing its leadership to Google

In a significant move within the tech industry, Cognition has announced its acquisition of the AI coding startup Windsurf, which is currently facing uncertainty following a major leadership shift. Google recently hired Windsurf's CEO and several key executives, as well as licensing its technology, casting doubt on Windsurf's future as an independent entity. With this development, a previously planned acquisition by OpenAI has fallen through. Windsurf's interim CEO, Jeff Wang, expressed optimism about the deal, stating that Cognition's acquisition is a "perfect fit" that could unleash vast opportunities for engineers to enhance their productivity exponentially. The specifics of the acquisition deal were not disclosed when it was announced on Monday. Wang shared his thoughts on LinkedIn, describing the past 72 hours as the most tumultuous period in his career. While Cognition has yet to provide comments on the acquisition, Windsurf has also opted not to comment further. Cognition, which has received backing from prominent investors like Khosla Ventures and Founders Fund, raised $175 million just last year, six months after its inception, and was valued at $4 billion according to Bloomberg. Meanwhile, Windsurf has garnered over $200 million in investments, with notable backers such as General Catalyst and Kleiner Perkins. Previously, OpenAI was in talks to acquire Windsurf for $3 billion, but negotiations broke down due to the CEO's reluctance to share intellectual property with Microsoft, as reported by Business Insider. In a note to Cognition staff, co-founder and CEO Scott Wu reassured that all Windsurf employees would see financial benefits from the acquisition without any waiting period for their stock to vest, pledging that each would be treated with respect. As speculation arose regarding the implications of the Google deal for Windsurf employees, Amjad Masad, CEO of Replit, encouraged Windsurf staff to consider opportunities at his startup, emphasizing a long-term vision over acquisitions. Cognition stated that acquiring Windsurf would significantly enhance its AI developer product, Devin. Wang also took a lighthearted jab at Anthropic, which had restricted access to its latest AI models following news of OpenAI's interest in acquiring Windsurf, indicating a renewed friendship with Anthropic in the announcement.
