Cognition to buy AI startup Windsurf days after Google poached CEO in $2.4 billion licensing deal

Cognition, an emerging player in artificial intelligence, has announced its decision to acquire Windsurf, a coding-focused AI startup. This development comes shortly after Windsurf's CEO and several senior staff members were recruited by Google, which has intensified the ongoing talent race within the AI sector. The details of the acquisition, including financial terms, have not been disclosed. Cognition is set to obtain Windsurf's intellectual property, product offerings, trademark, brand, and valuable talent. This move highlights the fierce competition among tech giants like Meta, Google, and OpenAI, all vying to secure the best engineers and researchers in the industry. Previously, OpenAI had been in negotiations to acquire Windsurf for approximately $3 billion back in April, but those talks ultimately fell through. Following this, Google announced its hiring of Varun Mohan, Windsurf's co-founder and CEO, in a deal involving $2.4 billion in licensing fees and compensation, as reported by CNBC. In a memo to Cognition employees, CEO Scott Wu emphasized the company's commitment to treating all new hires with transparency and respect. He stated, "After today, our efforts will be as a united and aligned team. There's only one boat and we're all in it together." Cognition is recognized for its AI coding agent, Devin, which aids engineers in accelerating software development. As of March, the startup had secured hundreds of millions in funding, reaching a valuation close to $4 billion, according to Bloomberg. Both Cognition and Windsurf have backing from Peter Thiel's Founders Fund, along with other notable investors like Greenoaks, Kleiner Perkins, and General Catalyst. Wu reassured Windsurf employees that they would be treated with respect throughout this transaction, offering them financial participation in the deal and waiving vesting cliffs for their past contributions. He concluded his memo with an optimistic note, stating, "There's never been a more exciting time to build."
