
Cerebras Systems, the AI chip innovator, is approaching a significant milestone with its upcoming initial public offering (IPO). Announced on Monday, the company plans to offer 28 million shares priced between $115 and $125 each, which could generate up to $3.5 billion in funding and establish a market capitalization of $26.6 billion at the upper price point. This IPO could provide a substantial return for investors who participated in Cerebras' recent $1 billion Series H funding round, which valued the company at $23 billion in February. The successful launch of this IPO would mark it as the largest technology IPO of 2026 to date, potentially signaling a renewed interest from investors in other significant public offerings, such as SpaceX, OpenAI, and Anthropic. Cerebras is renowned for its Wafer-Scale Engine 3, a chip specifically designed for artificial intelligence applications, which claims to outperform traditional GPU-based AI chips in terms of speed and energy efficiency during inference tasks. A robust IPO would benefit many high-profile investors, including Rick Gerson’s Alpha Wave, Fidelity, Benchmark, and others, who collectively hold substantial stakes in the company. Notably, Cerebras has garnered support from a diverse array of investors, including the Abu Dhabi Growth Fund and tech leaders such as Sam Altman and Greg Brockman from OpenAI. Although Altman's individual investment was not disclosed, his involvement highlights the deepening ties between Cerebras and OpenAI, which has been a significant customer. In December, OpenAI lent Cerebras $1 billion, with warrants that could allow it to acquire over 33 million shares in the future. Despite initial plans to go public in 2024 being delayed due to regulatory scrutiny, Cerebras has since secured additional funding, including a $1.1 billion round led by Fidelity and Atreides. Following a new agreement with OpenAI worth over $10 billion, which included the aforementioned loan and warrants, the company is well-positioned moving forward. As interest in the IPO builds, banks are reportedly handling $10 billion in orders for the shares, suggesting that the final pricing could exceed the initial range, further enhancing the financial prospects for both Cerebras and its investors.
