Monarch Tractor’s collapse ends with an acquisition by Caterpillar

Caterpillar has acquired the assets of Monarch Tractor, a company that faced significant challenges in transitioning to a software-driven business model, as revealed in recent filings with the United States Patent and Trademark Office. This acquisition, first reported by Bloomberg, concludes a difficult chapter for Monarch, which experienced multiple layoffs, legal battles with dealers, and the loss of a key manufacturing partner, Foxconn. The situation escalated recently when co-founder Carlo Mondavi expressed that he was 'pushed out' of the company after conflicting with CEO Praveen Penmetsa over the direction of Monarch's software-centric strategy. While Mondavi was not available for further comment, Penmetsa's office refrained from discussing the matter, only confirming last week that the company’s technology had been obtained by a major global equipment manufacturer. Founded in 2018, Monarch Tractor aimed to create 'driver optional' electric tractors capable of autonomous navigation in agricultural settings, such as wineries and dairy farms. The company successfully raised over $200 million over eight years, but its ambitious plans faced obstacles. Initially set to manufacture tractors at its facility in Livermore, California, Monarch later partnered with Foxconn to utilize a former General Motors factory in Lordstown, Ohio. However, Foxconn's aspirations to produce vehicles for various electric vehicle startups, including Monarch's tractors, fell short as those companies faced bankruptcy. By August 2025, Foxconn had sold the plant to SoftBank, leaving Monarch without a manufacturing partner. Monarch's troubles only deepened, leading to a series of layoffs and a restructuring effort to focus on software and licensing its autonomous technology. However, dealers who purchased Monarch tractors raised concerns about the functionality of the autonomous systems, with one dealer alleging that the machinery was 'defective' and incapable of operating autonomously. Monarch has denied these allegations in court filings. As Monarch navigated these challenges, it undertook a significant auction of its remaining tractors earlier this year. Mondavi recently reflected on his exit from the firm, citing a fundamental disagreement in operational approaches and reliability issues with the tractors. He emphasized a desire for hardware solutions while noting that leadership favored software adjustments instead. This shift in strategy and subsequent acquisition by Caterpillar marks a significant turning point for Monarch Tractor.
