Following its recent IPO, SpaceX has achieved an impressive valuation of $2.5 trillion, creating a wave of millionaires among its employees in Hawthorne, California. Similar expectations surround OpenAI and Anthropic, which are projected to launch their IPOs later this year with valuations nearing $1 trillion. While such wealth influxes have drawn comparisons to Facebook's 2012 IPO—which netted California $1.3 billion in taxes—new tax regulations and compensation frameworks could dampen the revenue impact. One key factor influencing the potential tax revenue is the way employees' stock compensation is structured. Unlike traditional models where stock vesting is linked to both continued employment and a liquidity event like an IPO, SpaceX employees have been taxed on their restricted stock units (RSUs) tied solely to their employment. This unique approach means that many SpaceX employees have already been paying taxes on their shares, which complicates the prediction of tax revenue from the IPO, according to the California Legislative Analyst's Office (LAO). OpenAI recently completed a secondary share sale that allowed employees to cash in at a valuation of $500 billion, further reducing the tax revenue expected from a traditional IPO event. While these sales still incur taxes, they shift the timing of when that revenue is realized, making it harder for regulators to forecast.
