Automattic files counterclaims against WP Engine in WordPress lawsuit, alleging trademark misuse

In a contentious legal battle, Automattic, the company behind WordPress, has officially filed its counterclaims against WP Engine, a hosting provider that initiated the lawsuit in October 2024. The original suit accused Automattic and its CEO, Matt Mullenweg, of defamation and misconduct. However, Automattic alleges that WP Engine has misused the WordPress trademark and engaged in misleading marketing tactics without contributing adequately to the open-source community. Last year, Automattic took decisive action against WP Engine, branding the hosting provider as a "cancer to WordPress" and issuing a cease-and-desist letter over alleged violations of trademark usage. The company subsequently barred WP Engine from accessing resources on WordPress.org and attempted to negotiate a licensing agreement. However, Automattic claims that WP Engine was negotiating in bad faith, leading to the current legal escalation. In WP Engine's narrative, they positioned themselves as victims of Mullenweg's alleged attacks. Conversely, Automattic argues that after a significant $250 million investment from private equity firm Silver Lake, WP Engine's behavior changed drastically. They accuse WP Engine of transitioning from fair use to outright trademark infringement by rebranding itself as “The WordPress Technology Company” and allowing partners to refer to it as “WordPress Engine.” Additionally, Automattic points out that WP Engine introduced products under names such as “Core WordPress” and “Headless WordPress,” misleading customers about their commitment to the WordPress ecosystem, which they claim was never fulfilled. The counterclaims assert that WP Engine's infringement was intentional, with the company merely feigning engagement in licensing discussions while actually stalling for time. Silver Lake's involvement is pivotal in these counterclaims, suggesting that the private equity firm influenced WP Engine’s operations. The allegations indicate that WP Engine’s reluctance to pay licensing fees stemmed from concerns about its earnings and valuation, which directly impacted Silver Lake’s anticipated returns. Furthermore, the counterclaims reveal that Silver Lake had sought to divest WP Engine at a valuation of $2 billion but struggled to find a buyer, even approaching Automattic in the process. Automattic also alleges that during this tumultuous period, WP Engine compromised product quality and user experience to reduce costs, stripping away essential features.
